He was one of the Sealers, sorcerers who flooded New Londo to lock away the Darkwraiths and their Kings after they descended into Dark. Of the three Sealers, he's the only known surviving member. He's currently atop the ruins of New Londo, keeping watch over the seal to keep the Abyss from spreading.

Oct 26, 2012 · Is it safe to kill Ingward? When the PC version came out, eager would be Darkwraiths went straight down to New Londo to fight the Four Kings, only to find that Ingward wouldn't drop the Key to the Seal, completely breaking the game.

You need to have the lordvessel, which you get by defeating Ornstein and Smough. The only way to get the key without the lordvessel is to kill Ingward and loot the key off his corpse.
